DESCRIPTION:
The Lead Governance Specialist is responsible for managing and maintaining the formal processes for the organization’s boards and committees, including meeting planning, document preparation, drafting minutes and database management. This position will report to, and work directly with, the Manager of Corporate Governance.

 

PRINCIPLE DUTIES AND RESPONSIBILITIES:

  • Provide notice of meetings of the board and/or of a committee when such notice is required.
  • Organize and coordinate all board meetings and board documents.
  • Support highly confidential Boards and Committees, developing a deep understanding of their roles, responsibilities, and functions.
  • Assist with all Board Level communication.
  • Be a key point of contact for Directors.
  • Maintain accurate and current records within a database of Director demographic and appointment information. Manage various data elements, including Board/Committee appointments, terms, and term limits to ensure the effective tracking and availability of such data. Possess an understanding of frequently requested governance data elements to ensure their availability in the current system.
  • Continuously anticipate/identify governance operational improvement opportunities and recommend improvement suggestions to Director.
  • Conduct research of governance materials to find/verify actions, the progression/execution of corporate initiatives and other matters as requested. 
  • Assist Director with various initiatives/projects/execution strategies.
  • Support highly confidential Boards/Committees and those requiring a deeper understanding of the complexities of purpose/functioning.
  • Participate in governance regulatory requirement initiatives.
  • Assist the Manager in ensuring governance instruments remain current and aligned with best practice.
  • Serves as a back-up to the Manager in his/her absence or at meetings as requested.
  • Other duties as assigned.

 

EDUCATION/EXPERIENCE REQUIRED:

  • Bachelor’s Degree in Business, Health Care or related field required or 5 years of Governance, executive assistant, multifaceted administrative or paralegal experience in lieu of a degree.
  • Experience working in a fast-paced environment and performing high-volume, detailed-oriented administrative work. Knowledge of basic governance processes is a plus, including agenda development, preparation of support materials, writing minutes and maintaining complex records.
  • Excellent computer skills including Microsoft Office and Adobe Pro.

     

  • Demonstrated ability to use current audio-visual and meeting-support technology.
  • Excellent written/verbal communication, networking and interpersonal skills.
  • Demonstrated experience working with executive management and boards of directors.
  • Proven customer service skills with a focus on exceptional service, responsiveness and timeliness.
  • Ability to develop and complete routine filings, resolutions and other documents related to nonprofit governance.
  • Willingness to learn industry best practices and laws impacting not-for profit governance.
